Any misleading or incomplete offer information may result in suspension of the campaign. 2.3 Changes to Offers: Any changes to offers, such as payout adjustments, terms, or availability, must be communicated in advance and are subject to approval by OfferGenz.
3.1 Payment Terms: You agree to pay publishers on a Cost Per Action (CPA) basis, according to the agreed-upon terms (e.g., per lead, sale, or registration). 3.2 Payment Schedule: Payments must be made in a timely manner as outlined in your agreement with OfferGenz. Delays in payments may result in campaign suspension or account termination. 3.3 Minimum Deposit: Advertisers must maintain a minimum deposit with OfferGenz for ongoing campaigns. OfferGenz may halt campaigns if this balance is insufficient. 3.4 Chargebacks: In the event of fraudulent leads or invalid actions, OfferGenz reserves the right to issue chargebacks and deduct payments accordingly.
4.1 Legal Compliance: Advertisers are responsible for ensuring that their offers comply with all applicable local, national, and international laws and regulations, including but not limited to data protection, privacy, and consumer protection laws. 4.2 Prohibited Content: Advertisers are prohibited from promoting content that involves illegal activities, hate speech, violence, or misleading products or services. 4.3 Marketing Practices: Publishers may only promote offers using methods approved by OfferGenz. Advertisers may not require or incentivize publishers to use fraudulent or unethical promotional methods (e.g., spam, fake leads).
5.1 Lead Quality: Advertisers must ensure the accuracy of lead validation criteria. Any rejection of leads for being invalid or fraudulent must be based on clear, predefined criteria. 5.2 OfferGenz Audits: OfferGenz may audit the quality of the leads or actions delivered through campaigns to ensure compliance with these terms. Repeated issues with lead quality or fraudulent activities may result in account termination.
6.1 Performance Tracking: OfferGenz will provide performance reports detailing leads, conversions, and other key metrics. Advertisers are responsible for reviewing and validating these reports. 6.2 Data Usage: Any data collected through OfferGenz or publisher channels must be used solely for the purposes of fulfilling your obligations under these terms. Misuse of data for purposes outside the scope of these Terms is prohibited. 6.3 Confidentiality: Any confidential information shared between OfferGenz, advertisers, and publishers, such as campaign details and performance data, must be kept confidential and not disclosed to any third party.
7.1 Account Suspension: OfferGenz reserves the right to suspend any advertiser account for violations of these terms, including but not limited to non-payment, fraud, or unethical practices. 7.2 Termination by Advertiser: Advertisers may terminate their account by providing written notice to OfferGenz. All outstanding payments for valid leads or actions must be settled upon termination. 7.3 Termination by OfferGenz: OfferGenz reserves the right to terminate an advertiser account at any time, with or without cause. In case of termination due to violations of these terms, any outstanding balances may be forfeited.
8.1 Limited Liability: OfferGenz is not liable for any damages, losses, or costs incurred by advertisers, except in cases of gross negligence or intentional misconduct. OfferGenz provides no guarantee regarding the volume or quality of leads generated through its network. 8.2 Indemnification: Advertisers agree to indemnify and hold harmless OfferGenz, its affiliates, employees, and partners from any claims, damages, or liabilities arising out of their use of the OfferGenz network, including but not limited to violations of these Terms, legal disputes, or third-party claims.
OfferGenz reserves the right to update these Terms at any time. Any changes will be communicated to advertisers, and continued use of the OfferGenz platform after the changes take effect constitutes acceptance of the updated Terms.
